The following are examples of Promotion Services that Aruzam.com will provide in accordance with the terms below: (a) Top Ranking and Sponsored Listing; (b) services that assist, encourage, and support the User’s business, including the User’s brand, product, store, logo, trademark, service mark, and User Content (as defined in clause 3.7 of the Terms) and/or derivative work made using the User Content on platforms, software, tools, browser extensions, and/or applications run by Aruzam.com (“Aruzam Channels”) and/or on platforms, software, applications, channels, websites, and/or other media forms run by third parties (“Third Party Channels”); and (c) any additional services that Aruzam.com may occasionally announce. At its sole discretion, Aruzam.com reserves the right to decide whether or not to make the Promotion Services available to you in whole or in part.

3.Users Generally

3.1. You acknowledge and agree that you will abide by all relevant laws and regulations in order to gain access to and use the Sites or Services.

3.2. By posting or displaying any logos, trademarks, service marks, brands, description/information in the product listings, and any other information, content or material on the Sites (any of such information, content or material, collectively referred to as “User Content”) or providing any User Content to Aruzam.com and/or its affiliates and their respective representative(s), and to the extent permitted under applicable laws, you grant an irrevocable, perpetual, worldwide, royalty-free, and sub-licensable (through multiple tiers) license to Aruzam.com and/or its affiliates and their respective representative(s) to display, transmit, distribute, reproduce, publish, duplicate, adapt, modify, edit, translate, create derivative works using the User Content, remove any part of it (including, without limitation, the watermark or mark the User Content bears), and otherwise use any or all of the User Content in any form, media, or technology now known or not currently known in any manner, on the Sites, Aruzam Channels and/or Third Party Channels and for any purpose which may be beneficial, whether directly or indirectly, to Aruzam.com, the operation of the Sites, the provision of any Services and Promotion Services and/or the business of the User. You confirm and warrant to Aruzam.com that you have all the rights, power and authority necessary to grant the above license and the User Content and use of such User Content (including derivative works) by Aruzam.com and/or its affiliates under such license is free from any infringement or violation of any Third Party Rights (as defined in clause 5.4). 1. Members’ Accountabilities

5.1. Each Member further represents, warrants and agrees that the User Content that you submit, post or display shall: (a) must be truthful, accurate, full, and lawful; (b) must not be false, misleading, or deceptive; and (c) must not contain any information that would be considered offensive, obscene, harassing, threatening, or defamatory.not contain material that is discriminatory or encourages discrimination based on race, sex, religion, nationality, handicap, sexual orientation, or age; (d) not be offensive, sexually explicit, or harmful to children; (e) refrain from breaking any of the following: the Aruzam Product Listing Policy, other Terms, or any applicable Additional Agreements; (f) refrain from breaking any applicable laws and regulations (such as those pertaining to export control, consumer protection, unfair competition, price gouging, or false advertising) or from encouraging any activity that might violate those laws and regulations; and (g) refrain from directly or indirectly linking to any other websites that contain content that might be illegal.

5.6. Additionally, each Member affirms, guarantees, and promises that they will/will be: (a) conduct their commercial dealings with other Site users in good faith; (b) carry out their activities on the Sites in conformity with all relevant laws and regulations; (c) continue operating in compliance with the Terms and any applicable Additional Agreements; (d) refrain from using the Services or Sites to defraud any person or entity (including, but not limited to, selling stolen goods or using credit/debit cards); (e) refrain from taking on the identity of another person or entity or misrepresenting your affiliation with one; (f) refrain from spamming or phishing; (h) refrain from making any attempt to replicate, duplicate, exploit, or seize the different proprietary databases, listings, and directories on Aruzam.com;
(i) not include any malware, computer viruses, or other harmful tools or programs that might harm,interfering with, intercepting, or seizing any hardware, software, data, or personal information; (j) refraining from engaging in any scheme to compromise the security of the networks, data, or systems that Aruzam.com and/or any of its users use, or to obtain unauthorized access to such networks, data, or systems; (k) not be subject to any economic or fraud sanctions of any governmental, international, or regulatory entities, nor be your director(s), officer(s), controlling party(ies), affiliates, or legal jurisdiction in which any of the aforementioned persons or entities is organized or has operations; and (l) refrain from taking any actions that would expose Aruzam.com or our affiliates to liability.

5.7. The member is prohibited from engaging in any activities that are the same as or similar to the e-commerce marketplace business of Aruzam.com through the use of the Sites, Services, or member account.

5.8. Should a member supply a business referee, the member affirms, guarantees, and agrees that you have secured all required permissions, authorizations, and waivers from said referee in order to: (a) serve as your business referee; (b) post and publish their contact information, informational letters, and comments on their behalf; and (c) that third party Parties may get in touch with these business references to back any assertions or remarks made about you. Any remarks or other information (including User Content) published, submitted, uploaded, displayed, or otherwise made by any Member is not endorsed, verified, or otherwise certified by Aruzam.com. Each Member is entirely in charge of the information they provide and receives, and they run the risk of being held legally accountable for anything they say in their comments or other materials.

5.11. In order to guarantee that all access to and use of the Site and Services complies with applicable laws and regulations in each of its various countries, each Member acknowledges and accepts that it is exclusively their responsibility to do so.

6.Violations by Member

6.1. Any User Content (in whole or in part) that you submit to, post, or display on the Sites may be removed, modified, or rejected at any time by Aurazam.com at our sole discretion if we have reasonable grounds to believe that it: (a) violates any applicable laws and regulations; (b) violates the Terms hereunder; (c) could subject Aurazam.com or our affiliates to liability; (d) infringes any Third Party Rights; (e) could harm the interests of our Members, third parties, or Aurazam.com or our affiliates; or (f) is otherwise deemed inappropriate in Aurazam.com’s sole discretion.

6.2. In the event that a Member violates any of the Terms, or if Aurazam.com has good cause to suspect that a Member is violating any of the Terms, Aurazam.com has the right to take any necessary disciplinary action, including but not limited to: (a) canceling or suspending the user’s account and any associated accounts that Aurazam.com, in its sole discretion, determines to be tied to such an account, without liability for any losses or damages resulting from or associated with such suspension or termination; b) limiting, migrating, stopping, or canceling the service membership, access, or usage of any service now or in the future; c) eliminating any product listings or other user content that the member has uploaded, posted, or displayed; or Limiting the quantity of product listings or User Content that the Member may upload or exhibit; (d) putting additional limitations on the Member’s use of any features or functions that Aurazam.com may find suitable in its sole discretion; and (e) implementing any other corrective measures, sanctions, or fines that Aurazam.com may find essential or suitable in its sole discretion.

6.3. A Member shall be deemed to be in breach of the Terms in any of the following situations, without limiting the scope of the provisions of the Terms:

(a) In the event that Aurazam.com receives a complaint or claim from a third party, it will reasonably assume that the Member has intentionally or materially failed to fulfill the terms and conditions of your contract with that third party. This includes, but is not limited to, situations in which a Member who supplies goods or services through the Sites and Services has neglected to deliver any items that the Third Party has ordered after receiving the purchase price, or in which the Items that the Member has delivered notably do not match the terms and descriptions specified in your contract with said third party;

(d) Aurazam.com believes that the Member’s actions may cause financial loss or legal liability to Aurazam.com or our affiliates or any other Users.

6.4. In the event that any criminal or civil activity is suspected, Aurazam.com maintains the right to fully collaborate with governmental or regulatory authorities, law enforcement agencies, private investigators, and/or harmed parties. Additionally, to the degree allowed by relevant laws and regulations, Aurazam.com may If a government, regulatory or law enforcement body, an injured third party, a subpoena, or another legal action requests it, the Member shall provide the identity, contact information, and/or details of the Member’s account(s), transactions, or activities conducted on or via the Site.
